Muvizu website user terms and conditions

This website (the “Site”) is provided by Meshmellow Limited, a companyincorporated in China and trading as “Muvizu”(“we” or “us”). Use of the Site is governed by these terms and conditions(the “Terms and Conditions”). Please read them now. If you are notwilling to accept these Terms and Conditions you may not use the Site.

Any breach of the Terms and Conditions may, at our sole discretion,result in your rights to access the Site being suspended or removed.

Terms

These Terms and Conditions apply to your general use of the Site. Thefollowing additional terms also apply to you:

• Privacy policy
• Cookies policy
• End User Licence Terms (if you download software from the Site)

Age limit for regular membership

The Site is intended for the use of persons aged 13 and over only.

You may only register for a Muvizu account online if you are aged13 or over.
We may at any time ask you for evidence to verify your age. If we believethat you are under the age of 13, we may delete your profile and suspendwithout warning your access to the Site.

Gatekeeper Accounts

If you are a teacher, drama group leader or similar (or a parent whowould like an account for a child) and some of your charges are under 13,you may open a "Gatekeeper" account. This will allow you to set upsubsidiary accounts for your charges which you will administer and overwhich you will have full visibility and control. These are invisible toanyone except members of your group or another gatekeeper group withwhich you have chosen to collaborate. You must be at least 18 years oldto open a gatekeeper account.

Disclaimer

The Site and its contents are for general information only and areprovided “as is” and on an “as available” basis. Nothing on the Site is,or shall be deemed to constitute advice or any form of recommendation.Accordingly, to the maximum extent permitted by law, we exclude allrepresentations, warranties, conditions and other terms. Specifically, wemake no warranties, representations or undertakings about:

• Any of the content of the Site (including, without limitation, any as to the quality, accuracy, currency, completeness or fitness for any particular purpose of such content); or
• Any content of any other third party website referred to or accessed by hypertext link through the Site.

We make no guarantees that the Site is free from so called computerviruses. It is strongly recommended that you check for such virusesbefore downloading the Site or any of its contents.

User content

The Site gives you the option to send us content to be posted on the Siteby us (“User Content”).

By sending us User Content, you will be deemed to:-

• Warrant to us that all registration information you submit, including age verification information, is truthful and accurate
• Consent to us editing that User Content at our discretion;
• Grant to us an irrevocable, worldwide, royalty free licence to use and publish that User Content for any purpose associated with publicising the Site; and
• Warrant to us that you are the owner of the copyright and other intellectual property rights in the User Content, that the User Content is your original work and that the User Content does not infringe the rights (including intellectual property rights) of any third party.

We do not guarantee that any User Content you submit will be posted onthe Site.

Please note that comments made by other users of the Site which may beposted on the Site are provided for your information only and do notnecessarily represent our views and opinions.

User conduct

You may use the Site only for lawful purposes. You may not:

• Use the Site in any way which may harass or cause distress or inconvenience to any person including but not limited to making available defamatory material.

Take Down Notice policy

This section of the Terms and Conditions sets out our policy on removalof User Content (our “Take Down Notice Policy”). In the event that youconsider your rights to have been infringed by another user’s conduct itis our intention to respond to all clear notices of copyrightinfringement, defamatory content or otherwise via our Take Down Noticepolicy.

If you believe that your own copyrighted work is accessible on the Sitein violation of your copyright or that obscene or defamatory commentshave been made in relation to you, then you may submit a Take DownNotice. The following information must be included within the Take DownNotice:-

• Identify in sufficient detail, the copyrighted work or intellectual property that you claim has been infringed so that the material can be located on the Site. Alternatively please provide sufficient details to locate the allegedly obscene or defamatory comments;
• The physical or electronic signature of the person making the complaint;
• Sufficient contact details for the person making the complaint, including an address, telephone number and e-mail address.

Upon receipt of a Take Down Notice we shall remove or disable access tothe allegedly infringing material if we consider it appropriate to do so.We will also advise the alleged infringer of your claim.

In the event that a Take Down Notice is received in connection with anycontent which you have posted or made available on the Site, you consentto the release of your personal contact details in connection with anyinvestigation of fraud, intellectual property infringement, piracy,defamation or other unlawful activity. Such personal information willonly be released to the complainant where required by law. In suchcircumstances we may, if we are required to do so, disclose your name,home address and e-mail address to the complainant or the complainant’srepresentatives.

Your account and profile page

Your account contains password protected areas which allow you to viewcertain selected content. You are responsible for maintaining theconfidentiality of your password and user name and are fully responsiblefor all activities occurring under your username or password.

When selecting your privacy settings please consider carefully the numberof people who may be able to view the information you post and whether itis safe to disclose that type of information. We recommend that you donot disclose your home address, telephone number, date of birth or workor school location in a way that could be accessed by strangers.

While the Site allows you to set privacy options that limit access toyour pages, please be aware that no security measures are one hundredpercent effective. Accordingly we cannot control the actions of otherUsers with whom you choose to share your pages and information and do notguarantee that User Content you post on the Site will not be viewed byunauthorised persons. We are not responsible for the circumvention of anyprivacy settings or security measures contained on the Site.

Service Access

While we endeavour to ensure that the Site is normally available 24 hoursa day, we do not guarantee this and we shall not be liable if for anyreason the Site is unavailable at any time or for any period.

Muvizu Delivery and Returns Policy

Muvizu:Play

Muvizu:Play is a freely available software. You – the user – maydownload it at no charge. We – Meshmellow – will ensurethat the delivery of the digital download is as fast as we can make it.This includes all criteria under our control, namely the file size andserver capacity.

While the delivery of your digital download is immediate there areseveral factors affecting its speed over which Meshmellow has no control.For example, your internet connection speed, bandwidth throttling orparallel browsing load.

Meshmellow does not charge for digital delivery of its software or delivery of upgrade purchases.

Changes

Jurisdiction

The Terms and Conditions shall be governed by and construed in accordancewith the Laws of Scotland and any disputes that may arise will be subjectto the jurisdiction of the Scottish courts.
